Charity & Social Enterprise Executive Risks Insurance

THIS INSURANCE IS DESIGNED TO OFFER TRUSTEE INDEMNITY AND / OR DIRECTORS & OFFICERS LIABILITY INSURANCE TO CHARITIES AND SOCIAL ENTERPRISES. IT MAY BY OPTIONAL EXTENSION ALSO OFFER FIDELITY, EMPLOYMENT PRACTICES LIABILITY AND PROFESSIONAL INDEMNITY INSURANCE

In this Key Facts document, the Organisation is the charity or social enterprise which purchases this policy and the Insured are its trustees, governors, council or committee members, directors or officers. The Insured also includes persons under a contract of employment, and volunteers.

Section 1 - Insuring Clauses

Basis of Insurance

This policy covers claims made during the policy period, subject to:
• premium payment at inception of this Policy;
• the completed proposal;
You also need to ensure that the information you give us regarding your activities and circumstances is accurate and regularly reviewed.

The Policy covers ...

• The Organisation and/or the Insured for:
•  damages and costs (including costs, fees and expenses incurred in defence of a claim) arising from any actual or alleged act or omission by the Organisation or Insured in the discharge of their duties for and on behalf of the Organisation;
•  costs fees and expenses incurred in attending and being represented at an investigation initiated by a formal, regulatory, administrative, criminal or investigative inquiry;
•  costs reasonably incurred in replacing or restoring documents destroyed, damaged, lost or mislaid (limited to £25,000 in the aggregate).
• Insureds for 6 years in the event that they leave the Organisation by reason of death, retirement, voluntary departure or redundancy, for any act or omission committed and/or investigation cost incurred prior to the Insured leaving.

Section 2 - Limit of Liability and Excess

• The maximum amount which can be paid out by this policy over all sections is defined in the policy schedule as the Limit of Liability (which can be eroded by costs and expenses). Elements of cover may have a separate sub-limit which will be stipulated.
• There is no Excess applicable to this insurance unless specifically stated in the schedule of the policy.

Section 4 - General Conditions

• You must notify of any claim or incident which may give rise to a claim
• You must not admit any liability for a claim nor incur any expenses with respect to a potential claim without Insurer's prior written consent.

Section 5 - General Exclusions

Main Exclusions

• Bodily injury and property damage (except for loss of documents);
• Acting as a trustee of any pension scheme or investment fund;
• Any dishonest, fraudulent or criminal act or omission of any Insured (unless the Fidelity Extension is purchased);
• Any liability arising out of the performance of or failure to perform professional or consulting or advisory or design services for others whether or not a fee is charged or received in respect of such services (unless the Professional Indemnity Extension is purchased);
• Any losses in connection with employment disputes (unless the Employment Practices Extension is purchased).
• War and/or terrorism
• Pollution and/or contamination

Optional Extensions

Fidelity (optional)

• Covers loss of money in the event of a dishonest or fraudulent act (other than by any director, officer or trustee) to obtain financial benefit.
• It is warranted that minimum security procedures (which form part of the proposal) are in place throughout the policy period.

Professional Indemnity (optional)

• Covers the Organisation and Insured for their liability arising out of the performance of or failure to perform professional or consulting or advisory or design services for others whether or not a fee is charged or received in respect of such services.
• Cover excludes premises, facilities or services owned or managed by or on behalf of the Organisation the primary purpose of which is to provide medical treatment or medical care services.

Employment Law Protection (optional)

• Covers the Organisation and Insured for damages, settlement, costs, charges and expenses arising out of any matter relating to a contract of employment, any employment related discrimination and any breach of employment legislation.

Important Information about your Policy

Cooling Off Period

If you have not received a copy of your full terms and conditions when you purchase your insurance policy from us, you may cancel your policy within fourteen days from the date that they are received without penalty.
